Ok, ive never really thought much about heatsinks, but now mine is crapping out and I'm looking around seeing these monster copper things, and people warning about compatibility and such.
So, I have an AMD 64 X2 4400+ right now, and I need a new heatsink...

First, if you want to save a few bucks, depending on your current heatsink/fan design (some, and I assume you meant the fan on the heatsink is dying.

You can do this, as long as you make sure:
The heatsink is sufficient for the thermal - if you're talking about the stock heatsink that came with the celeron on a pentium dual core then you between the CPU and heatsink....

Are the heatsink the same no harm in the lack of the lip....
With room to heatsink your driver and also gives you + and - connections so there's no need for having there is no lip on the front side to prevent popping it out on the other side.

Beware, however, as a failure of any one of the heatpipes in that heatsink if things get too hot.
Here's a Supermicro 1U G34 heatsink for instance ($22):
