Except for Windows Server 2008, you cannot use OEM licence inside of virtual machines.
It is not legal since OEM is connected to particular hardware.

Thanks to Fishman! OEM Roush Vinyl Install Installed my new OEM style Roush Banner from Fishman today! Also put some blackout vinyl on as well, gotta tell you, the small strip i put on makes a world of a difference. I love the look of the new banner!

We have a server that is on its way out but we need to image the current install and run it as a VM. The issue is that software is 2003 R2 Dell OEM. Can this be done legally?
