Yes, you are eligible for the upgrade....
(XP can not be upgraded, but you can still buy an upgrade licence) .
Yes, the upgrade editions are not dependent on what previous version you have - only the fact that you have a licence of any Vista (or XP) edition .

3d titles seem, mostly, to increase ridiculously in price the longer they've been to be had if you shop around though.
I've noticed steelbooks going up in price on HMV's nowadays.
And TheHut has been 3 days on average lately.
