What version have you got?
1.0.3? Any addons you may have?
I'm think more about your CPU, though.
Dual core Intel Pentium D??!!
Intel Pentiums are rubbish for big games like Gta IV, and Intel Pentium D's are about the same as the old Intel Pentium 4 that used to come in Windows 2000's/Me!Don't know whether the two core would make much difference.
Your graphics card is on the high spec end, and you have more RAM than me, and I can run GTA IV, so it is probably gonna be your CPU.

I have an E8400, 9800GX2, 4GB of DDR2 Ram and Windows Vista, and I have the same crashing problem.
