Eth2 is the current nic.
Eth0 and eth1 were nics on the server before migration.
Have you installed the ESX version of VMWare tools? If you do an ls mod do you see the pcnet32.

V2 also includes :) vmware 2.0 crashed regularly on one server I have - however, hasn't crashed since the recent VMware Server....
Windows Server 2008 is supported only in v2.
Vmware Server v2 can use v1 images.

Just connect the ISO and go.

Why not use VMware Converter (free standalone) to convert the VM to ESX format and save.
It may not work with VMware Server, but if it works with ESX/ESXi, it probably will.
May want to see this.
